This End-User License Agreement ("EULA") is a legal agreement for the use of www.wpaffiliateguide.com, any future programs ("Software Products"), and the computer programs found therein, which includes extensive computer programming, associated media, printed materials, and "online" or electronic documentation and sales materials (collectively the "Software Product"), between you ("User") and WPAffiliateGuide.com, LLC ("WP Aff Guide"). By accessing, creating an account, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not use or access the Software Product.
COPYRIGHT. Software Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. All title and copyrights in and to the Software Product (including but not limited to any images, photographs, language syntax, source code, or other materials incorporated into the Software Product) are owned by WP Aff Guide.
GRANT OF LICENSE. The Software Product is licensed, not sold. Subject to the condition that you are in compliance with the terms of this EULA, you may use the Software Product on your domains. You will use Software Product in accordance with copyright laws as detailed on the sites that own the data feeds you use.
LIMITATIONS. Except to the extent such a restriction is unenforceable under local law, you may not reverse engineer, decompile, or disassemble the Software Product. The Software Product is licensed as a single product, and its component parts may not be separated for use individually. You may not modify, amend, or create derivative works of the Software Product.
USE OF SOFTWARE PRODUCT. YOU MAY NOT USE SOFTWARE PRODUCT TO INFRINGE UPON OR VIOLATE THE COPYRIGHTS OR TRADEMARKS OF ANY AFFILIATE MERCHANT OR OTHER WEBSITE OWNER. You are responsible for knowing and understanding the affiliate merchant’s rules and restrictions before using Software Product.
User is solely responsible for use of Software Product, and any and all consequences resulting from use or misuse of Software Product. It is your duty to ensure that you are using Software Product in accordance with all local, state, national, and international laws. It is your duty to monitor pending and new legislation and make sure you are in compliance. It is your responsibility to ensure that your Webhost/ISP allows installation of Web pages created by use of Software Product on their systems.
Software Product may not be used on websites not in your direct possession or registered in your name. You may not sub-license Software Product or share your license of Software Product.
YOU MAY NOT USE SOFTWARE PRODUCT TO FACILITATE THEFT OF COPYRIGHTED WEB SITES OR TRADEMARKS. YOU MAY NOT USE SOFTWARE PRODUCT OR THE RESULTS FROM THE SOFTWARE TO ENGAGE IN DECEPTIVE OR FRAUDULENT ADVERTISING, INCLUDING USING KEYWORDS AND CONTENT UNRELATED TO THE SITE YOU ARE PROMOTING OR USING THE RESULTS ON SITES THAT THE AFFILIATE MERCHANT DOES NOT APPROVE OF. YOU WILL NOT USE SOFTWARE PRODUCT TO DECEPTIVELY ADVERTISE, TO STEAL OTHERS’ COPYRIGHTS OR TRADEMARKS, TO PROMOTE ANY ILLEGAL OR QUESTIONABLE PRODUCT,WEBSITE OR SERVICE, OR TO ENGAGE IN ANY ILLEGAL ACTIVITY. YOU MAY NOT USE SOFTWARE PRODUCT TO CIRCUMVENT OR VIOLATE AGREEMENTS YOU HAVE WITH OTHER COMPANIES.
TERMINATION. Without prejudice to any other rights, WP Aff Guide may terminate this EULA or your rights under this EULA at any time if you fail to comply with the terms and conditions of this EULA. Upon termination of your rights under this EULA for any reason, or upon termination of the EULA itself, you must destroy all copies of the Software Product and all of its component parts in your possession (including all component parts, the media and printed materials, any prior versions, and this EULA). The terms of this paragraph shall survive any termination of this EULA. If you recieve a refund of your purchase, you must destroy all copies of Software Product.
NON-DISCLOSURE. Software Product shall be treated in its entirety as Confidential Information. Confidential Information shall not be provided or disclosed by you to anyone except your employees or agents and shall only be used for the purpose of configuration or installation. The obligations to not disclose Confidential Information shall survive any termination of this Agreement for a period of three (3) years from the date of first disclosure of such Confidential Information; otherwise, this obligation shall expire one year from initial agreement. No rights or licenses under patents, trademarks, or copyrights are granted or implied by any disclosure of Confidential Information. Confidential Information and any and all copies thereof, in whole or in part, shall remain the property of WP Aff Guide and shall be immediately destroyed or returned upon request by WP Aff Guide. You may not assign or transfer your duties or obligations under this Agreement without the prior written consent of WP Aff Guide. Any attempt to assign or transfer rights or delegate duties without such prior written consent shall be void.
NON-COMPETITION. You understand that WP Aff Guide operates in a highly competitive market, and that Software Product required many years of development. As such, you hereby agree that you will not develop, market, sell, or otherwise produce a product that competes directly with WP Aff Guide and its Software Product. This obligation shall survive any termination of this Agreement for a period of one (1) year from the date of first agreement; otherwise, this obligation shall expire one year from initial agreement.
INDEMNIFICATION. User agrees to defend, indemnify and hold harmless WP Aff Guide and its shareholders, directors, officers, employees, agents, affiliates, and any person or entity involved in creating, producting, or distributing Software Product from and against all claims and expenses, including attorneys’ fees, arising out use of Software Product, misuse of Software Product, failure to use Software Product, technical glitches or bugs or security weaknesses in Software Product, or any other result arising out of Software Product.
PRIVACY. This Agreement also includes and requires your agreement to the Privacy Policy.
DISCLAIMERS. This Agreement also includes and requires your agreement to the Disclaimers.
